How to register a company in India: preparation guide

A preparation guide to MCA incorporation, SPICe+ and the questions to take to a professional.

The short answer

Company incorporation is handled through the Ministry of Corporate Affairs. SPICe+ separates name reservation from incorporation details; the appropriate structure and linked filings depend on your circumstances.

The idea at a glance
  1. 01Choose structure

    Assess fit and obligations

  2. 02Prepare

    People, office and activity details

  3. 03File with MCA

    SPICe+ and applicable linked forms

  4. 04Plan compliance

    Keep records and track duties

First decide whether a company fits

This is an orientation to incorporating a company in India, not an LLP or partnership filing guide. The right structure depends on ownership, liability, funding plans and ongoing compliance. Discuss these with a chartered accountant or company secretary before paying to incorporate. A business idea does not itself determine the legal structure.

Prepare the information before filing

  • Proposed names and a clear description of the business activity.
  • Proposed directors and subscribers, their consent and the identity/address evidence required for their circumstances.
  • Registered-office arrangements, ownership or occupancy evidence and owner consent where required.
  • Capital, share allocation and the proposed constitutional documents. Ask the filing professional which linked forms and certifications apply.

This is a preparation checklist, not an exhaustive statutory document list. Requirements differ with the type of company and the applicants.

Understand the SPICe+ route

MCA’s SPICe+ instruction kit separates name reservation in Part A from incorporation details in Part B. MCA’s V3 FAQ explains the online incorporation forms and linked filings. Use the official MCA portal and its current instructions for submission, digital signatures, fees and any resubmission.

Keep the submitted forms, attachments, payment receipts, acknowledgement and final certificate together. An application or payment acknowledgement is not the certificate of incorporation. No approval time or fixed total cost is promised here.

Make a separate post-incorporation checklist

Ask your professional to identify applicable initial and recurring filings, accounting, tax, banking and employment obligations. Company incorporation, DPIIT recognition, Udyam registration and activity-specific licences serve different purposes. Do not assume obtaining one completes the others.

Ask for an itemised cost and responsibility plan

When comparing professional quotations, separate government filing charges, state-dependent stamp duty, digital-signature costs and professional fees. Ask what is included in the quote, what might trigger an additional charge and which ongoing duties fall outside incorporation. A low initial quote is hard to compare if annual compliance or a required resubmission is excluded.

You should understand the documents you are authorising. Use the intended company’s correct contact details and agree how the team will retain its own records and account access. Share identity documents only through the appropriate professional or official filing process, not through a public learning worksheet.

A small glossary before your first meeting

Terms to clarify with your filing professional
TermWhat to understand
SubscriberA person subscribing to the company’s founding memorandum; discuss their proposed shareholding.
DirectorA governance role with legal responsibilities; it is not simply an honorary title.
Registered officeThe official address used for statutory communication and records as required.
Certificate of incorporationEvidence of incorporation, distinct from the receipt for an application.

Check your understanding

Does every business need to be a private limited company?

No single structure suits every venture. Compare ownership, liability, funding and ongoing compliance with a qualified professional before choosing.

Does the application receipt mean my company is incorporated?

No. Keep the official incorporation certificate and approved records. A payment or submission acknowledgement shows an application step, not final incorporation.
